This Affiliate Marketing Agreement (the "Agreement") is entered into between I Am Morgana LLC, a licensed financial advisor, and you, the "Affiliate," effective immediately.
1. Purpose of the Agreement
This Agreement outlines the terms and conditions under which the Affiliate will refer clients or businesses to I Am Morgana LLC and, in exchange, may receive compensation through a revenue-sharing program. Compensation is contingent upon the Affiliate meeting all requirements, including obtaining a valid life and health insurance license and the successful closing of referred business.
2. Affiliate Role and Responsibilities
The Affiliate agrees to:
Refer potential clients or businesses that may benefit from the financial services offered by I Am Morgana LLC.
Ensure they obtain a valid life and health insurance license to be eligible for compensation.
Act in a professional manner and not misrepresent any information about I Am Morgana LLC’s services.
Abide by all applicable laws and regulations, including insurance licensing requirements.
3. Compensation Structure
The Affiliate understands and agrees to the following compensation terms:
Eligibility for Compensation: No compensation will be provided for simply making a referral. The Affiliate must have an active life and health insurance license to be eligible for compensation.
Payment Terms: Compensation will be paid directly from the provider after the referred client or business completes a financial transaction or insurance policy with I Am Morgana LLC.
No Upfront Fees or Guarantees: There are no upfront fees or guaranteed payments for referrals. The Affiliate’s compensation is directly tied to the successful closing of business.
Revenue Sharing: The compensation is based on a commission percentage, which is determined by I Am Morgana LLC in its role as the broker. The base commission rate is determined by the product provider. The specific percentage will vary depending on the product or service sold and will be communicated to the Affiliate at the time of business closure.
4. License Requirement
The Affiliate must obtain and maintain an active life and health insurance license to participate in the revenue-sharing program. The Affiliate is responsible for acquiring and maintaining the required license at their own expense.
The Affiliate must provide proof of licensure to I Am Morgana LLC prior to receiving any compensation.
5. Referral Process
The Affiliate may refer clients or businesses using approved referral methods (e.g., online forms, email introductions).
I Am Morgana LLC will review each referral to determine eligibility for services. Referrals that do not meet I Am Morgana LLC’s criteria or that fail to close will not result in compensation.
6. Term and Termination
This Agreement will remain in effect until terminated by either party.
Either party may terminate this Agreement by providing 30 days written notice to the other party.
Termination will not affect any outstanding compensation due for business closed prior to termination, provided all other terms of this Agreement are met.
7. Confidentiality
The Affiliate agrees to maintain the confidentiality of all client information obtained through the referral process and will not disclose any sensitive information to third parties without prior consent.
8. Independent Contractor Relationship
The Affiliate is an independent contractor and not an employee, agent, or partner of I Am Morgana LLC. The Affiliate has no authority to bind or make decisions on behalf of I Am Morgana LLC.
9. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the state of Georgia.
10. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes any prior agreements or discussions.
11. Amendments
This Agreement may be amended only in writing signed by both parties.
